For Website Renewal / Annual Retainership Invoice. Only covers renewal services, if comes with free AMC (Annual Maintenance Cover) shall include bugs fixes, annual scan and server side maintenance, restoring uptime if reported and information update only.
1. Scope of Annual Retainership
1.1 The retainership covers continuous upkeep of the existing website as per the agreed scope.
1.2 Scope includes:
- Basic content updates (text, images)
- Bug fixes related to original development
- Uptime monitoring (if part of agreement)
- Technical assistance for routine issues
- Plugin/theme updates if licensed & provided by the client1.3 Retainership does NOT include:
- New design, UI/UX changes, or structural changes
- New feature development
- Migration to new platforms/hosting
- Rebranding or redesign
- Digital marketing, SEO, SMM
- Server cost, hosting, or domain services unless stated
2. Duration of Retainership
2.1 The renewal invoice covers a 1-year (12 months) period unless otherwise mentioned.
2.2 The retainership period starts from the date mentioned on the invoice or from previous expiry continuation—whichever applies.
2.3 Unused hours, services, or support time do not carry over to the next cycle.
3. Payment Terms
3.1 Full payment for annual renewal must be cleared within 7 days of invoice issuance.
3.2 Support services under this retainership activate only after payment confirmation.
3.3 Interest @ 2% per month applies on delayed payments beyond 7 days.
3.4 Non-payment may result in automatic suspension of:
- Support services
- Website maintenance
- Monitoring services
4. Content Updates & Delivery
4.1 Client must provide the content (text, images, PDFs) in finalized form for updates.
4.2 Content provided by the client is assumed approved and verified.
4.3 Verification of data accuracy, grammar, and copyright compliance is solely the client’s responsibility.
4.4 Large content uploads, redesigning page layouts, or heavy graphics work are outside basic retainership and chargeable.
5. Technical Support
5.1 Support is available only during working hours (unless customized under contract).
5.2 Support includes email assistance, technical troubleshooting, and minor website fixes.
5.3 Issues caused by third-party hosting/DNS/email providers are not part of support but can be handled at additional cost.
5.4 Priority or urgent requests outside scope may have added service charges.
6. Hosting, Domain & Third-Party Services
6.1 Hosting, CDN, SSL, payment gateway charges, domain renewals, plugin/theme renewals are not included unless specifically listed in the invoice.
6.2 If hosting/server is managed by the developer, uptime and maintenance terms apply as per hosting SLA and are separate from this retainership.
6.3 Company shall not cover any claim or compensations for downtime or issues caused due to: Hosting rudimentory issues, Spamming, Expired third-party licenses, DNS propagation, Server limitations or any extra natural or unseen or unprecdented events.
7. Plugin, Theme & CMS Updates
7.1 Any broken layout, theme conflict, or functional errors caused after forced updates are chargeable.
7.2 Premium plugins/themes not renewed by the client may disrupt website functionality; the developer is not liable.
7.3 Updates for plugins or CMS (WordPress/Shopify/etc.) will be done only if:
- Valid licenses are provided by the client OR
- License renewals are purchased separately
8. Backup & Security
8.1 Routine backups may be included only if specified in scope or SLA.
8.2 Client is responsible for maintaining external backups unless they have subscribed to backup services. Backup restoration may take time 0-n days (n, is an unpredicted number)
8.3 Any restoration work is chargeable. Free backup offer does not bound comapny of this service.
8.4 Company is not liable for:
- Data loss from hosting server
- Security breaches due to client-side credential sharing
- Malware attacks caused by external code injections
9. Client Responsibilities
9.1 Provide accurate and approved content in timely manner.
9.2 Maintain confidentiality of website credentials and access details.
9.3 Notify the developer of any suspected misuse or hacking.
9.4 Avoid giving third-party developers/admins access without informing the primary developer.
10. Additional Work & Chargeable Services
10.1 Any requirement beyond the retainership scope will be charged as per standard rates.
10.2 The developer will share an estimate for new work before starting the task.
10.3 Extra work includes but is not limited to:
- New page creation
- UI redesign
- Adding new features/modules
- Speed optimization
- SEO or marketing tasks
- Rewriting content
10.4 Additional work is payable in advance unless mutually agreed.
11. Warranty & Limitations
11.1 Retainership covers only support—not enhancements or redevelopment.
11.2 Any complimentary or free offering is provided strictly on an “as-is” basis and shall not carry any warranty guarantee claim or compensation of any kind.
11.2 Warranty becomes void if CMS, plugins, or server settings are changed without coordination.
11.3 Warranty does not apply if the website is edited or damaged by:
- Third-party developers
- Client internal team
- Unauthorized plugin installations
12. Confidentiality & NDA
12.1 Both parties agree to protect shared credentials and project data.
12.2 The developer will not share client’s data with external parties.
12.3 NDA terms apply automatically by acceptance of this invoice unless a separate agreement exists.
13. Suspension of Services
13.1 Services may be suspended for any of the following:
- Non-payment of renewal invoice
- Website misuse
- Violation of license policies
13.2 Services resume only after pending dues and reactivation charges (if applicable) are paid.
14. Termination Policy
14.1 Either party may terminate the retainership with a 30-day written notice.
14.2 No refund is applicable for partial usage of annual retainership.
14.3 Upon termination, the developer will:
- Provide client data
- Close administrative access
14.4 Post-termination support is chargeable.
15. Liability & Indemnification
15.1 Developer is not liable for:
- Loss of business
- Data loss
- Third-party service failure
- Downtime beyond control15.2 Client agrees to indemnify the developer against claims arising from:
- Copyright violations in client content
- Misuse of website or user data
- Unauthorized access
16. Legal Jurisdiction
16.1 Any disputes are subject to the jurisdiction of courts located in developer’s registered location(Chandigarh, UT).
16.2 All terms abide by applicable IT and commercial laws.
17. Acceptance of Terms
17.1 Payment of the renewal invoice or continuation of services automatically constitutes acceptance of these Terms & Conditions.
17.2 These terms supersede any prior verbal or informal commitments.
